Dopo i nostri articoli sulla New Financial Technology e soprattutto sul suggerimento di non aderire al “tavolo negoziale”, ancora più dopo l’arrivo di promesse di pagamento anonime (1), il dibattito si è acceso, anche con toni critici, e dai malcapitati abbiamo ricevuto svariate domande su quanto affermato.
A costoro malcapitati investitori, il più delle volte poco o per niente competenti in materia, che nella foga di voler fare a tutti i costi qualcosa per riavere i soldi investiti e che perciò rischiano scelte sbagliate come quella di aderire all’inconsistente “tavolo negoziale” che abbiamo stigmatizzato, proviamo a dare risposte sul perché non sia possibile avallare rimedi e soluzioni assurde.
– Come mai siamo sicuri sia tutto falso e che Nft sia una piramide?
Il 10% mensile è semplicemente impossibile. Lo dice la logica (2). Alla luce dei pochi dettagli forniti dalla società, i guadagni provenivano da arbitraggi tra i diversi prezzi delle varie cryptovalute in sessanta exchange, mercati. In poche parole, si vendeva dove il prezzo era maggiore e si ricomprava dove era minore. Tale attività è effettivamente possibile, ma gli arbitraggi portano in genere dei guadagni molto risicati. Il solo fatto di compravendere conduce alla chiusura dello spread, ossia il margine di guadagno. Vero che le cryptovalute vedono le varie piazze di negoziazione poco efficienti, ma garantire il 10% mensile tutti i mesi è impensabile. Inoltre, se davvero ciò fosse possibile, gli operatori del mercato sarebbero intervenuti da tempo, senza attendere di farselo dire dalla Nft.
Ancora (2), ad un certo punto i volumi non sarebbero sufficienti non solo a garantire gli arbitraggi, ma addirittura gli interi scambi!
Infine, i trasferimenti di cryptovalute si possono verificare presso oxt.me, o anche blockchain.info inserendo l’ID (identification number) della transazione di cui si è in possesso. Quelli che abbiamo potuto verificare non evidenziano operazioni di mercato, bensì trasferimenti tra portafogli (wallet).
Sarà pur vero che l’ abito non fa il monaco, ma davvero i soci della Nft del video di presentazione vi sono parsi esperti in cryptovalute, depositi ed exchange di beni digitali, arbitraggi ed affini? A noi è sembrato che l’esperto non sapesse nemmeno il significato del testo che leggeva (volendo tralasciare le scarpe di colori diversi, il codino e l’ambientazione e il video stesso che società serie operanti nel settore mai avrebbero pensato di fare per una presentazione del progetto di investimento). (3)
Un ulteriore indizio viene dall’ultimo comunicato emanato dall’avvocato Giullini giovedì 6 ottobre nella sua qualità di direttore unico della Nft Digital Trust Kb di Stoccolma, con sede presso un indirizzo della capitale svedese dove in realtà c’è solo un servizio di cassette postali per domiciliazioni. Parrebbe destinato ai soli clienti titolari dei conti “Custody”, depositi di cryptovalute assistiti dall’assicurazione di una banca. Si legge che, dovendo sottostare alle decisioni delle Autorità, “potrebbe o non potrebbe essere necessario indagare ulteriormente”. Comunque sia, la rilevazione contabile di questa tipologia di deposito Custody è sospesa e i relativi dati saranno resi noti non appena possibile. Volendo fare un “cattivo pensiero”, potremmo ipotizzare che le rilevazioni di questi conti assistiti da assicurazione bancaria sono ferme soprattutto perché l’assicurazione bancaria non esiste, come non esistono i depositi dichiarati.
Se si può essere solidali (e fino ad un certo punto comprensivi) coi malcapitati investitori che si aggrappano alla speranza contro le evidenze, non è giustificabile il comportamento dei soggetti che si sono proposti per assistere gli investitori, che avallano e partecipano al “tavolo negoziale” che appare solo il tipico estremo tentativo di ritardare l’inevitabile. L’unica cosa certa di quel tavolo è il compenso all’avvocato che per quell’assistenza va pagato alla definizione dell’accordo, quindi al momento della firma della promessa dei futuri pagamenti e non a pagamento avvenuto, con la conseguenza che se il pagamento non dovesse arrivare, all’avvocato non si potrà chiedere indietro alcunché.
– Nft è una società inglese, come può fallire in Italia con conseguenti revocatorie dei pagamenti?
Nel ribadire che i pagamenti non arriveranno, abbiamo già fatto presente come sarebbero oggetto di azione revocatoria o di indebito da parte del Curatore del Fallimento che richiederebbe indietro le somme incassate, dato che esiste una massa creditoria molto più ampia di quella ad oggi conosciuta e che nei fallimenti vige la regola della “par condicio creditorum”.
Ma la società ha sede legale a Londra, ci è stato detto.
A parte il fatto che anche in Gran Bretagna esiste l’istituto del fallimento, siamo pressoché certi che il fallimento in Italia sarà chiesto, ed ottenuto, dalla Procura della Repubblica di Treviso (o di Pordenone, attualmente indagano entrambe) perché il fallimento può avvenire in Italia in base alla cosiddetta estero-vestizione, ossia società formalmente estere ma la cui attività si esplicita in Italia.
L’estero-vestizione è stata ad esempio utilizzata nel caso delle società lussemburghesi del Gruppo Cirio posto in amministrazione straordinaria, ma anche in un caso analogo di piramide finanziaria, il celebre caso Lande, il cosiddetto “Madoff dei Parioli” in cui tre delle società che raccoglievano danaro avevano sede legale all’estero, precisamente una in Irlanda e altre due proprio in Gran Bretagna. Nonostante ciò, proprio per il principio di estero-vestizione, queste società sono state dichiarate fallite dal Tribunale di Roma (n. 606/2011) dietro richiesta della Procura della Repubblica, con tanto di conferma della Cassazione.
Auspichiamo che la Procura della Repubblica di Treviso o di Pordenone, che sono già state investite da numerose denunce, intervengano in tempi rapidi in modo da evitare che gli investitori incappati nella NFT spendano altro danaro inutile rischiando pure ulteriori complicazioni giudiziarie sotto forma di azioni revocatorie, disponendo finanche un sequestro cautelativo di tutti i beni presenti e futuri riconducibili alla società ed ai soci. A quel punto cadrebbe ogni discorso di ipotetici rimborsi.
Nei prossimi articoli, oltre ad aggiornare sullo status quo, affronteremo le tematiche fiscali e delle responsabilità degli intermediari a vario titolo coinvolti nella vicenda.
