Arezzo – Consigliere provinciale Lucacci: “La chiusura di HSG Srl è dovuta alla società stessa che conduceva in affitto l’azienda ex Vignali. La protesta attuata dai sindacati appare comprensibile ma non giustificata” – Cuando un’azienda chiude, la politica si muove nel tentativo spesso non coronato da successo di risolvere problematiche difficilmente risolvibili con la politica stessa, perchè attinenti a questioni sia giuridiche che economiche, fuori dal controllo pubblico, ma ci si deve provare.
La chiusura di HSG Srl sembrerebbe appartenere ad uno di quei casi. Nel tentativo di capirci qualcosa il consigliere provinciale Lucacci ha cercato informazioni e quelle trovate hanno destato alcune perplessità.
Spiega il consigliere Lucacci: “Innanzi tutto individuiamo i soggetti coinvolti e questi sono:1) la HSG di Brescia che stava portando avanti l’attività di tessitura della Tessitura Vignali Vasco Srl avendo stipulato il 02.05.2022 un affitto di ramo di azienda scadente inderogabilmente il 05/05/2025 con la Omega Srl già Tessitura Vignali Vasco Srl, società poi andata in Concordato Preventivo e successivamente fallita.
2) la TORO WOOD INVEST HDP Srl, società del territorio Casentinese, con una attività del tutto diversa da quella di tessitura, in forte espansione, con una tradizione imprenditoriale alle spalle, ed alla ricerca di spazi idonei alla propria espansione.
Prima anomalia: la presenza di soggetti legati alla società affittante, poi fallita, come dipendenti della società affittuaria, soggetti che però rappresentano la HSG Srl nelle assemblee pubbliche, in televisione e anche negli incontri con la prefettura. L’apporto lavorativo di Gianni e Paolo Vignali, soggetti chiaramente legati alla società prima in concordato e poi fallita non è molto usuale, e altrettanto che parlino a nome della società affittuaria.Nel quadro della procedura fallimentare si sono celebrate una serie di aste che vedevano venduti insieme sia l’immobile che l’azienda comprensiva dei macchinari. Nella prima si è avuta una base d’asta di €1.761.000,00 andata deserta, nella seconda di €1.585.000,00 andata ancora deserta e nella terza di €1.130.000,00 che ha visto partecipare HSG Srl e la TORO WOOD INVEST HDP Srl con l’aggiudicazione da parte della TORO WOOD INVEST HDP Srl del compendio per €1.505.000,00, ovvero un prezzo prossimo al prezzo che era stato fissato per la seconda asta.
Seconda anomalia: la HSG Srl avrebbe rilanciato in asta fino a €1.500.000,00, ovvero ben oltre l’offerta irrevocabile di acquisto che aveva fatto alla curatela. Si apprende che vi era stata un’offerta irrevocabile da parte di HSG Srl alla curatela di acquisto dell’immobile+azienda di €1.130.000,00, che evidentemente la curatela e il giudice delegato avevano ritenuto significativa, tanto da ordinare una terza asta partendo da quel prezzo, ma evidentemente non tale da non far effettuare la terza asta, dovendo le curatele fallimentari cercare di ottenere il massimo ricavo per soddisfare i creditori, nell’ambito di una asta pubblica. Dunque il sistema della Aste giudiziarie ha generato la virtuosa crescita del ricavato dalla vendita per soddisfare i creditori, ma non sfugge che l’offerente perdente aveva offerto una somma bassa in una offerta alla curatela, salvo poi dimostrare, in asta, di poter offrire molto di più. Se HSG Srl avesse avuto veramente a cuore le maestranze, avrebbe partecipato alla seconda asta, facendo uno sforzo in più per l’acquisto del compendio o avrebbe fatto una offerta alla curatela di €1.500.000,00.
Terza anomalia: i sindacati dei lavoratori si sono scagliati, non contro HSG Srl, responsabile per una condotta errata delle trattative e della mancata partecipazione alla seconda asta, ma contro la società legittima aggiudicataria. Ebbene pur comprendendo Il fine di tutelare i posti di lavoro, alcuni appartenenti dei sindacati non si possono permettere di denigrare chi ha legittimamente partecipato ad una asta pubblica, e ha garantito, con la propria offerta, che i creditori della società fallita possano recuperare i loro soldi ed, addirittura, come parrebbe essere accaduto in uno uno dei vari incontri, minacciare di rovinare la società aggiudicataria anche paventando l’occupazione dell’immobile legittimamente assegnato in una asta pubblica”.
Il consigliere Provinciale Lucacci conclude: “Si chiede alla Prefettura ed alla Magistratura di analizzare le anomalie del caso e a garantire che sia rispettato il risultato della gara d’asta indetta dalla curatela: è quantomeno inopportuno che si tenti di influenzare il risultato di un’asta pubblica, cosa che può scoraggiare, in futuro, la partecipazione alle aste pubbliche da parte di aziende e cittadini. Se la vicenda non ha avuto l’epilogo atteso da qualcuno, lo si deve alla HSG Srl che ha tentato di acquistare ad un prezzo basso il compendio a scapito dei creditori fallimentari. Non si comprende, infine, perché HSG Srl parrebbe rifiutare di acquistare dall’aggiudicatario, ad €250.000,00, l’azienda con i macchinari che parrebbe essere stata stimata, senza l’immobile, circa €600.000,00 e non voglia spostare la produzione in un altro capannone in casentino. Questo accadimento rappresenta una stranezza che fa ritenere che l’interesse della HSG Srl non fosse tanto per l’azienda della ex Vignali, ma per il capannone. Ci auguriamo infine che la società aggiudicataria, se HSG Srl non intenderà acquistare l’azienda, si impegni ad assumere almeno i dipendenti con mansioni compatibili con l’attività dalla stessa svolta, se ve ne sono tra i dipendenti della HSG Srl, augurandosi che i sindacati cerchino di salvare almeno tali posti di lavoro, con una composizione equilibrata degli interessi in campo”.
